Define the playbook scope
A US in-house team may use different positions for customer, supplier, and strategic agreements. Identify the contract type, business unit, and circumstances covered.
Do not apply a fallback outside its approved context merely because the clause wording looks similar.
Record the decision fields
For each issue, capture preferred wording, permitted fallback, conditions, prohibited changes, and escalation owner. Include the rationale needed by negotiators.
Keep legal and commercial approvals distinguishable. A lawyer's drafting suggestion may still require business acceptance of a risk.
Test a threshold exception
Suppose a fallback is approved only for a particular deal size or service category. An AI drafting workflow should preserve the condition and ask for confirmation when the facts fall outside it.
Do not allow the model to infer approval from previous negotiations or a clause library containing older concessions.
Use approved examples carefully
Link examples to their context and version. Remove client-specific facts and restricted material through the organisation's approved process before reuse.
Review generated clauses against the current playbook and the actual agreement. Definitions and cross-references can change the effect of familiar wording.
Maintain the authority record
Save the exception request, approver, decision, and final clause when a negotiation departs from the playbook. Use recurring issues to inform an authorised update.
