Define the signing task
Record the contract, parties, proposed signatories, and capacities. Identify whether the document includes additional obligations such as guarantees or security that need separate attention.
Ask the deal owner which evidence is expected to establish authority. Avoid a generic approval based only on a business card or email signature.
Collect the relevant evidence
Organise company information, constitutional documents, resolutions, powers of attorney, and delegations. Record issue dates, versions, language, and any stated limitations.
Preserve the source documents and translations. An extracted summary should allow the reviewer to inspect the wording on which the proposed conclusion depends.
Test a restricted power
Suppose a power authorises negotiations but does not clearly address execution of the final instrument. Record the gap and ask counsel to determine its effect.
Do not infer authority merely because the person led the commercial discussions. The review must connect the proposed act with the actual evidence and applicable law.
Check formalities and changes
Have the responsible UAE adviser assess relevant execution, certification, notarisation, or other formalities for the instrument. Requirements can depend on the document and circumstances.
Revisit the review if the signing entity, signatory, or transaction scope changes. A prior conclusion should not be reused without checking that its assumptions still hold.
Preserve the approved pack
Save the evidence reviewed, legal conclusion, approved signatories, and final execution instructions. Mark any outstanding condition clearly for the signing team.
After signing, keep the executed document linked to the authority pack. This supports later diligence without forcing the team to reconstruct the basis of execution from correspondence.
