Define the portfolio question
An in-house team may need to understand who can sell which products and where. Start with the business question and identify the executed agreements, schedules, and amendments included in the review.
Use one agreement family per record. A regional summary should not combine the rights of different distributors into a single apparent grant.
Extract distinct dimensions
Record products, geographic territory, customer groups, channels, exclusivity, reserved rights, and duration separately. Include the source wording and any relevant definition.
A territory description may not explain online sales or named accounts. Ask separate questions so an apparently complete answer does not conceal a missing dimension.
Test a reserved-account exception
Suppose a distributor receives an exclusive territory while the supplier reserves sales to specified customers. Reporting only exclusive distribution would hide a commercial exception central to the account team's planning.
Capture the reservation and any process for changing the customer list. If the schedule is missing or outdated, mark the scope unresolved rather than extrapolating from the main agreement.
Route legal assessment separately
Competition-law analysis requires the applicable framework and facts, including matters outside the document itself. The Commission's vertical-agreements materials provide an official research starting point.
Do not instruct the model to label every territorial clause lawful or unlawful from its wording alone. Give the specialist a structured extraction and the questions requiring advice.
Deliver a usable commercial map
Produce a source-linked summary of rights, reservations, and open issues. Keep the legal review status visible beside each point affecting the business's proposed action.
When an amendment changes a territory or channel, update the affected fields and retain the earlier version. This supports renewal and restructuring discussions without losing the basis of the prior analysis.
